Mr. Michael Zaramba brings to Intelligent Waves’ Board of Advisors his expertise on Employee Stock Ownership Plans (ESOPs) including tax-advantaged divestitures, 1042 elections, stock sale financing, and repurchase liability analysis. He has implemented and administered multiple Profit Sharing Plans, 401(k) Plans, and ESOPs. Zaramba is a senior-level executive with over 30 years of experience in fast-growing service company environments. He has held multiple leadership roles in finance, accounting, strategic planning, mergers and acquisitions, operations, human resources, risk management, and compliance.

Currently, Zaramba is a principal with Halyard Associates LLC. Halyard provides strategic planning, Mergers & Acquisitions support, assistance with capital raising, fractional, and interim CFO services. In addition, Zaramba served as Chief Financial Officer for Pragmatics, Inc. – a $200M software engineering and services provider to various agencies of the Federal Government. In his role as CFO, Mr. Zaramba was responsible for all corporate support functions including accounting, finance, budgeting, treasury, human resources, risk management, IT, contracts, purchasing, and compliance. He also provided oversight for corporate tax functions as well as mergers & acquisitions.

Prior to Pragmatics, Zaramba was President and COO of Altron, Inc, an IT services firm, where he led the company’s conversion from a legacy outsourcing business into a viable and competitive technology firm. Under his tenure, the firm has expanded its customer base to include new clients at DHS, Navy, DOJ, and SPAWAR. He was also one of the key contributors in the growth and maturation of Stanley, Inc. (NYSE:SXE), helping build the business from a $10M/yr services firm to a $400M international enterprise culminating in a highly successful initial public offering in October 2006. During his fifteen-year tenure at Stanley, Zaramba served as CFO, CSO, and served on the Executive Committee. In 2007, Stanley was recognized as one of the 100 best places to work by FORBES magazine.

Zaramba holds a Bachelor of Science in Management/Industrial Engineering from the Worcester Polytechnic Institute and his MBA in Finance from the Smith School at the University of Maryland.
